TERMS OF USE

1. Agreement to These Terms

These Terms of Use (the “Terms”) form a binding legal agreement between you and BoastIt LLC, an Arizona limited liability company (“BoastIt,” “we,” “us,” or “our”), governing your access to and use of the BoastIt website at boastit.app, our mobile applications, and any related services (collectively, the “Service”).

By creating an account, uploading a photograph, purchasing credits, or otherwise using the Service, you accept these Terms in full. If you do not agree to any part of these Terms, do not use the Service.

Important: Section 14 contains a binding arbitration clause and class-action waiver. You may opt out of arbitration within 30 days of creating your account by following the procedure in Section 14.

2. Eligibility and Accounts

You must be at least 18 years old to create an account and use the Service. By creating an account, you represent that you are 18 or older and have the legal capacity to enter into this agreement.

You are responsible for the security of your account credentials and for any activity that occurs under your account. Notify us immediately at support@boastit.app if you suspect unauthorized access.

You may not create an account on behalf of any other person or entity without their authority, create multiple accounts to circumvent purchase or generation limits, or use the Service if you have been previously banned.

3. Photographs of Minors and Photo Rights

BoastIt is designed primarily for parents and legal guardians to celebrate the achievements of student athletes, many of whom are minors. Because of this, photographs of identifiable people — particularly children — require special care.

3.1 You must have rights and permission for every photo you upload.

By uploading any photograph to the Service, you represent and warrant that:

  • You own the photograph or have a valid license, release, or other lawful authority to use it;
  • Every identifiable person depicted in the photograph (or, if a minor, their parent or legal guardian) has given you permission to upload it, generate derivative images from it, and share those derivative images;
  • Where the subject is a minor, you are the parent or legal guardian of that minor, or you have express, contemporaneous permission from a parent or legal guardian;
  • Your use of the photograph through BoastIt does not violate any third party's privacy rights, publicity rights, copyright, trademark, contract, or any applicable law.

3.2 You retain ownership of your photos and your generated Boasts.

We do not claim ownership of photographs you upload or of the Boasts generated from them. You retain all rights to those materials, subject to the license you grant us in Section 3.3.

3.3 License you grant to BoastIt.

You grant BoastIt a worldwide, non-exclusive, royalty-free, sublicensable license to host, copy, transmit, display, modify, and process your uploaded photographs and generated Boasts only to the extent necessary to operate, provide, secure, and improve the Service for you. We do not use your photographs to train AI models, sell them to third parties, or use them to market BoastIt without your separate written permission.

3.4 Storage and removal.

Photographs you upload are stored temporarily for processing and shortly afterward. Generated Boast images are stored at the URLs returned by our AI provider and may eventually expire. You are responsible for downloading and saving any Boasts you wish to keep. You may request deletion of your account and associated data at any time by emailing support@boastit.app.

4. Pricing, Credits, and Refunds

4.1 How credits work.

Generating a Boast consumes one (1) credit from your account balance. Credits are sold in packs:

  • Basic Pack — 25 credits for $8.99
  • Elite Pack — 100 credits for $24.99

Prices are listed in U.S. dollars and are subject to change. Credits do not expire. Credits have no cash value, are non-transferable, and cannot be exchanged for goods other than Boast generations on the Service.

4.2 Failed generations are automatically refunded.

If our AI provider returns an error, times out, or fails to deliver a usable image, we automatically refund the credit to your account at no cost. You do not need to request this.

4.3 All sales are final.

Except for the automatic credit refunds described in Section 4.2, all credit pack purchases are final and non-refundable. This includes, without limitation: unused credits remaining in your account, credits you no longer wish to use, dissatisfaction with the appearance of generated Boasts, and account closures or suspensions.

Credits have no cash value and cannot be redeemed for cash, transferred to another account, or exchanged for any product or service other than Boast generations on the Service.

4.4 App Store and Google Play purchases.

Credits purchased through the Apple App Store or Google Play are governed by Apple's and Google's respective refund policies, not by this Section 4. To request a refund for an App Store purchase, contact Apple at reportaproblem.apple.com. For Google Play purchases, contact Google at support.google.com/googleplay. BoastIt cannot directly refund or modify purchases made through these platforms.

4.5 Discretionary support resolutions.

If you experience a problem that is not covered by Section 4.2, you may email support@boastit.app to describe the issue. We review concerns on a case-by-case basis and may, at our sole discretion, issue additional credits, partial refunds, or other resolutions. Nothing in this Section 4.5 creates a right to a refund, and our prior decisions do not bind us in future cases.

4.6 Chargebacks.

If you initiate a chargeback or dispute with your payment provider for a charge without first contacting us at support@boastit.app, we may suspend or terminate your account and ban future signups associated with the disputed payment method.

5. Acceptable Use

You agree that you will not use the Service to:

  • Upload, generate, or share content that infringes any copyright, trademark, right of publicity, right of privacy, or other intellectual property right;
  • Upload photographs of any person without their (or their parent/guardian's) permission;
  • Upload, generate, or share content that is sexually explicit, sexually suggestive of a minor, violent, hateful, harassing, defamatory, or otherwise unlawful;
  • Impersonate any person or entity, or misrepresent your affiliation with anyone;
  • Attempt to reverse engineer, decompile, scrape, or otherwise extract the source code or training data of the Service or its underlying AI providers;
  • Interfere with or disrupt the Service, including by transmitting malware or attempting unauthorized access;
  • Use the Service to harm, harass, or endanger any minor in any way;
  • Use the Service in violation of any applicable law or regulation, including export control laws and laws governing the use of likenesses and biometric data;
  • Resell, sublicense, or commercially exploit the Service or any output without our prior written consent.

We reserve the right to remove content, suspend accounts, and refuse service at our sole discretion if we believe a violation has occurred. We do not pre-screen uploads, but we may review and remove content that has been reported to us.

6. Generated Content

BoastIt uses third-party artificial intelligence providers (currently fal.ai and Anthropic) to analyze your uploaded photograph and generate a stylized Boast. The output is generated by machine learning models and may contain visual artifacts, errors, unexpected modifications, or content that does not match your expectations.

You are solely responsible for reviewing the generated Boast before sharing it. BoastIt does not guarantee that any specific generation will match your description, contain no errors, or be suitable for any particular purpose. You agree not to share generated Boasts in any context where their accuracy or appearance has legal, contractual, or professional significance (for example, as evidence of athletic statistics, college recruiting profiles, or news reporting) without independent verification.

7. Intellectual Property

The Service, including its software, designs, text, graphics, the BoastIt name and logo, the B-megaphone mark, and all Boast style systems, layouts, and visual treatments, are owned by BoastIt LLC or its licensors and are protected by copyright, trademark, and other laws. Nothing in these Terms grants you any right to use our trademarks, logos, or trade dress without our prior written permission.

7.1 Provenance data and copyright management information.

Boasts generated by the Service may embed provenance information — including image metadata, content credentials, digital watermarks, and similar identifiers — that records how the Boast was created (“Provenance Data”). Provenance Data, together with any BoastIt name, mark, or attribution appearing on or within a Boast, constitutes copyright management information within the meaning of 17 U.S.C. § 1202. You may not remove, alter, conceal, or falsify Provenance Data or other copyright management information from any Boast, and you may not distribute or publicly display a Boast knowing that such information has been removed or altered without authorization.

7.2 No reuse or re-generation without attribution.

Except for a Boast’s owner sharing their own Boast, you may not copy, reproduce, republish, redistribute, sell, or publicly display any Boast, and you may not use any Boast or any BoastIt style system, layout, or visual treatment to create derivative works or to produce similar output through any other tool or service, without both (a) clearly visible attribution to BoastIt (boastit.app) and (b) the permission of the Boast’s owner. Unauthorized reuse, re-generation, or stripping-and-reposting of a Boast infringes the rights of BoastIt LLC and/or the Boast’s owner, and we reserve the right to pursue all available remedies, including takedown notices under the U.S. Digital Millennium Copyright Act (17 U.S.C. §§ 512 and 1202).

8. DMCA / Copyright Complaints

If you believe content on the Service infringes your copyright, please follow the procedure on our DMCA page to submit a notice. We comply with the U.S. Digital Millennium Copyright Act and will respond to properly submitted notices and counter-notices.

9. Disclaimer of Warranties (AS IS)

The following section is presented in capital letters because applicable law requires it.

THE SERVICE AND ALL CONTENT GENERATED THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOASTIT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, BOASTIT DOES NOT WARRANT THAT (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR MEET YOUR REQUIREMENTS; (C) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (D) THE SERVICE OR ITS THIRD-PARTY AI PROVIDERS WILL CONTINUE TO BE AVAILABLE.

BOASTIT IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF THIRD-PARTY AI PROVIDERS, PAYMENT PROCESSORS, HOSTING PROVIDERS, OR ANY OTHER THIRD PARTY. DOWNTIME, ERRORS, OR DEGRADED OUTPUT CAUSED BY THIRD-PARTY PROVIDERS ARE NOT GROUNDS FOR REFUND BEYOND WHAT IS DESCRIBED IN SECTION 4.2.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BOASTIT, ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO BOASTIT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages. The above limitations apply to the fullest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless BoastIt and its officers, members, employees, agents, and affiliates from and against any claim, demand, loss, damage, or expense (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Service;
  • Your violation of these Terms;
  • Your violation of any third party's rights, including any photo subject's rights of privacy, publicity, or copyright;
  • Any photograph you upload or any Boast you generate or share.

12. Termination

You may terminate your account at any time by emailing support@boastit.app. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 3.3, 7, 9, 10, 11, 13, 14, and 15) will survive.

Termination does not entitle you to a refund of unused credits unless the termination is the result of our material breach of these Terms or applicable law.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of laws principles. Subject to the arbitration clause in Section 14, any judicial proceeding permitted by Section 14 must be brought in the state or federal courts located in Maricopa County, Arizona, and you consent to the jurisdiction of those courts.

14. Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights and requires you to resolve most disputes through binding individual arbitration rather than in court. You may opt out within 30 days as described below.

14.1 Agreement to arbitrate.

You and BoastIt agree that any dispute, claim, or controversy arising from or related to these Terms or the Service (a “Dispute”) will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, except as provided below. The arbitration will take place in Maricopa County, Arizona, or at a location mutually agreed upon, or by videoconference if you elect. Judgment on the award may be entered in any court of competent jurisdiction.

14.2 Class action waiver.

YOU AND BOASTIT AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING WILL BE LIMITED TO THE DISPUTE BETWEEN US AS INDIVIDUALS. NEITHER PARTY MAY BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate the claims of multiple parties.

14.3 Exceptions to arbitration.

The following Disputes are not subject to mandatory arbitration:

  • Claims that may be brought in small claims court, provided they remain in that court and on an individual basis;
  • Claims for injunctive or equitable relief related to intellectual property rights;
  • Claims that applicable law prohibits from being arbitrated.

14.4 30-day right to opt out.

You may opt out of the arbitration clause and the class action waiver in this Section 14 by emailing support@boastit.appwith the subject line “Arbitration Opt-Out” within thirty (30) days of first creating your BoastIt account. The email must include your full legal name and the email address associated with your account. Opting out will not affect any other provision of these Terms.

14.5 Severability of this section.

If the class action waiver in Section 14.2 is found unenforceable, then the entirety of this Section 14 (other than this sentence) is null and void, and any Dispute will be resolved in court under Section 13.

15. Changes to These Terms

We may update these Terms from time to time. The “Effective date” at the top of this page reflects the latest version. For material changes, we will provide reasonable advance notice by email or in-app notification. Your continued use of the Service after the effective date of an updated version constitutes your acceptance of the updated Terms.

16. Miscellaneous

These Terms, together with our DMCA policy and any other policies referenced here, constitute the entire agreement between you and BoastIt regarding the Service. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. If any provision is held invalid or unenforceable by a court, the remaining provisions will remain in full force and effect. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
